These Terms of Service (the "Terms") govern your access to and use of the services provided by Integrated Communication Consultants CC, trading as The Vault Exchange ("The Vault", "we", "us" or the "Service Provider"). By registering for, subscribing to, or using the Service, you ("the Subscriber", "you") agree to be bound by these Terms.
These Terms should be read together with our Privacy Policy, Refund Policy and Cancellation Policy, each of which is published as a separate document and is available from the footer of our website and at the point of subscription or checkout.
1. Description of Services
The Vault Exchange is a software-as-a-service ("SaaS") business that provides investor-relations communications services to subscribers. The services offered include, but are not limited to:
- Near-real-time stock exchange alerts sourced from the Johannesburg Stock Exchange ("JSE") and distributed via data feeds provided by Sharenet (Pty) Ltd ("Sharenet").
- AI-generated summaries and analyses of stock exchange announcements, SENS notices, and related financial communications, produced using large language model ("LLM") technology.
- Email and/or push-notification delivery of the above alerts and summaries to registered subscribers.
The Subscriber acknowledges that, because AI-generated content is produced algorithmically, summaries may not reflect human editorial judgement. All AI-generated summaries are provided for informational purposes only and do not constitute financial, investment, legal, or tax advice. The Subscriber should not rely solely on AI-generated content when making investment or other financial decisions.
2. Subscription, Activation and Delivery
Access to the Service requires an active paid subscription. Your subscription begins, and access is activated, upon confirmation of your first successful payment — ordinarily immediately, and in any event within 48 hours of confirmed payment. Confirmation of activation will be sent by email to the address provided at registration.
Ongoing delivery of alerts and AI-generated summaries is subject to the availability conditions set out in the Service Availability and Limitations clause below.
3. Fees and Billing
Subscriptions are billed monthly in advance on a recurring basis according to the plan selected by the Subscriber. The current monthly plans are Starter (R100), Growth (R120), Pro (R150) and Unlimited (R250), as displayed on the subscription page at the time of sign-up. Your first month’s fee is charged when you subscribe, and your subscription then renews automatically each month, at the then-current plan fee, until cancelled. By subscribing, you authorise The Vault (acting through its payment processor) to charge your nominated card the applicable monthly fee on each renewal date until you cancel in accordance with our Cancellation Policy.
Payment is made via Visa or MasterCard credit or debit card, which you authorise to be charged on a recurring monthly basis (a "card on file" arrangement) until you cancel. The merchant outlet country at the time of presenting payment options to the cardholder is South Africa, and the transaction currency is South African Rand (ZAR).
4. Payment Processing (Stitch Express)
Card payments are processed on our behalf by Stitch Express, our third-party payment processor. The Vault does not itself process or store card details. By submitting payment, you also agree to Stitch Express’s Terms & Conditions, available at https://stitch.money/express-legal/terms-and-conditions.
Stitch Express uses Secure Socket Layer (SSL) encryption, and no card details are stored on The Vault’s website or servers. Card details are entered by the Subscriber directly on Stitch Express’s secure site, and customer details are stored by The Vault separately from card details. Further information on how payment and personal information is handled is set out in our Privacy Policy.
5. Refunds, Cancellations and Returns
Subscriptions are digital services and are generally non-refundable once access has been activated. The full criteria for refunds, how to request one, and the timelines that apply are set out in our Refund Policy. The process for cancelling a subscription, how charges are handled after cancellation, and how cancellation affects refunds are set out in our Cancellation Policy.
6. Not Financial Advice
Content delivered by The Vault — including AI-generated summaries — is for general informational purposes only and does not constitute financial advice. Summaries are produced algorithmically and may contain errors or omissions. Always consult a qualified advisor before making investment decisions.
7. Service Availability and Limitations
The Subscriber acknowledges that the availability and timeliness of the services depend on a number of factors outside the direct control of The Vault, including but not limited to:
- Internet connectivity: The Vault accepts no liability for non-receipt or delayed receipt of alerts arising from the Subscriber’s internet service being unavailable, degraded, or interrupted.
- JSE services and exchange operations: Where the JSE’s SENS or other systems are delayed, interrupted, suspended, or unavailable for any reason — including scheduled maintenance, system outages, regulatory actions, or market halts — the corresponding alerts and summaries may be delayed, incomplete, or unavailable.
- Sharenet data feeds: The Vault does not warrant the accuracy, completeness, timeliness, or uninterrupted availability of Sharenet’s data feeds, and any interruption, error, or delay in those feeds will affect the corresponding services.
- Software and platform failures: The Vault will use commercially reasonable efforts to minimise disruptions but does not warrant that the platform will be available at all times or free of errors.
- Third-party infrastructure: The services are hosted on third-party cloud infrastructure, and The Vault does not accept liability for outages or failures attributable to third-party hosting providers, content delivery networks, or other infrastructure operators.
To the maximum extent permitted by applicable law, The Vault’s aggregate liability to any Subscriber arising out of or in connection with unavailability of the service shall not exceed the total subscription fees paid by that Subscriber in the one (1) month immediately preceding the event giving rise to the claim.
8. Acceptable Use
The Subscriber undertakes to use the services only for lawful purposes. The Vault confirms that the products and services it offers do not fall within any prohibited or restricted category of, and do not otherwise conflict with, the acceptable-use requirements set out in Stitch Express’s Terms & Conditions, available at https://stitch.money/express-legal/terms-and-conditions.
The Subscriber may not use the services in any manner that would cause The Vault to breach the requirements of its payment processor or acquiring banks.
9. Export Restriction
There are no export restrictions applicable to the services described herein, save that access to JSE-sourced data may be subject to the JSE’s own terms of use and redistribution restrictions. The Subscriber undertakes not to redistribute, resell, or commercially exploit raw exchange data or Sharenet feed content without the prior written consent of the relevant data owner.
10. Intellectual Property
All software, algorithms, AI models, templates, branding, and content produced by The Vault (other than raw exchange data sourced from the JSE or Sharenet) remain the exclusive intellectual property of Integrated Communication Consultants CC. The Subscriber is granted a limited, non-exclusive, non-transferable licence to access and use the services for their own personal or internal business purposes.
The Subscriber may not reproduce, redistribute, reverse-engineer, or create derivative works from The Vault’s proprietary content or technology without prior written consent.
11. Responsibility
The Vault takes responsibility for all aspects relating to the transaction, including services sold on this website, customer service and support, dispute resolution, and delivery of services, subject always to the limitations and exclusions set out in these Terms and the related policies.
12. Variation
The Vault may, in its sole discretion, change these Terms or any part thereof at any time. Where changes are material, The Vault will provide reasonable notice to Subscribers by email or by posting a notice on its website. Continued use of the services following notice of changes constitutes acceptance of the revised Terms.
13. Governing Law and Domicile
This website and these Terms are governed by the laws of South Africa. The Vault chooses as its domicilium citandi et executandi for all purposes under this agreement, whether in respect of court process, notice, or other documents or communications of whatsoever nature: 121 Sameja Drive, Dunkirk Estate, Salt Rock, South Africa, 4420.
